DRIVER INDEPENDENT CONTRACTOR DELIVERY SERVICE AGREEMENT
Effective Date: 2026-10-21
Company / Service Recipient: INKFINITYNJ LLC
Contractor / Driver: Driver / Independent Contractor
Warehouse / Market: Assigned warehouse
Assigned Manager or Company Contact: INKFINITYNJ LLC
1. Independent Contractor Relationship
Contractor understands and agrees that Contractor is an independent contractor providing delivery services and is not an employee, partner, agent, representative, joint venturer, or franchisee of Company. Contractor is not entitled to employee benefits, unemployment benefits, workers compensation benefits, health insurance, paid time off, overtime, minimum guaranteed hours, or any benefit normally provided to employees unless required by applicable law.
Contractor expressly acknowledges that Contractor is operating an independent delivery business and is responsible for deciding whether to accept available work, how to organize Contractor's business, what lawful means and methods to use, what vehicle and tools to provide, and whether to perform services personally or through properly qualified helpers or subcontractors when permitted by Company, warehouse, client, platform, and applicable law. Nothing in this Agreement creates an employment relationship, and Contractor agrees not to represent to any government agency, client, customer, warehouse, insurer, or third party that Contractor is an employee of Company.
To the fullest extent permitted by law, Contractor waives and releases any claim that Contractor is entitled to employee wages, overtime, minimum wage guarantees, unemployment benefits, workers compensation benefits, paid leave, health benefits, retirement benefits, expense reimbursement as an employee, or any other employee benefit from Company. If any agency, court, client, or third party later alleges or determines that Contractor, Contractor's helper, or Contractor's subcontractor should have been treated as an employee, Contractor agrees to defend, indemnify, and reimburse Company for taxes, contributions, penalties, assessments, benefits, legal fees, and costs arising from Contractor's own business operations, workers, helpers, subcontractors, representations, or failure to comply with this Agreement, except where prohibited by law.
2. Services
Contractor may perform last mile delivery, route support, package handling, proof of delivery, route completion, customer address verification, and related services assigned through Company, a warehouse, a manager, or a delivery platform. Contractor must follow route instructions, warehouse rules, safety rules, delivery photo rules, package handling rules, and all client or platform requirements.
3. Vehicles, Licenses, Insurance, Tools, and Expenses
Contractor is solely responsible for providing and maintaining all vehicles, fuel, phone, data plan, tools, licenses, permits, vehicle registration, insurance, inspections, tolls, tickets, parking, accidents, repairs, maintenance, and business expenses needed to perform services. Contractor must keep all documents current and provide updated copies when requested.
4. Payment and Rate Terms
Contractor is paid only for completed and accepted services according to the active rate plan, route record, package count, doubles/half package rules, deductions, bonuses, and payment schedule shown in Company records. Rates may be by package, by weight category, by route, by double/half package, by client, by warehouse, or by any other written rate plan. If Contractor has an assigned manager, payment may be made to the manager according to Company records, and the manager is responsible for paying Contractor unless Company agrees otherwise in writing.
5. Route Records, Cash Routes, and Reconciliation
Company records, imported delivery files, warehouse statements, platform records, QC records, and dashboard calculations are the operational source of truth unless Company confirms a correction. Routes paid in cash, routes marked paid, duplicate routes, chargebacks, client disputes, claims, or corrected package counts may be excluded, offset, or reconciled in future payments.
6. Package Care, Proof of Delivery, Claims, and Penalties
Contractor is responsible for all packages accepted or handled by Contractor. Contractor may be charged, deducted, penalized, suspended, or terminated for lost packages, damaged packages, incorrect address delivery, missing proof of delivery, wrong photo, unsafe delivery, customer complaint, theft, fraud, route abandonment, late delivery, failed delivery caused by Contractor, or violation of warehouse/client rules.
Specific penalties acknowledged by Contractor include, without limitation: returned packages not properly resolved or returned within 35 hours may be charged a $65 penalty per incident/package; packages left in a mailbox, postal box, USPS mailbox, or any prohibited mailbox location may be charged a $1,000 penalty for the first confirmed incident and a $5,000 penalty for the second confirmed incident. These penalties may be deducted, offset, held, or charged back from current or future payments, in addition to any client, warehouse, platform, legal, customer, or package loss charges.
Contractor is also responsible for any package that is misdelivered, left at the wrong address, left at the wrong door, left in an unsafe or prohibited location, left without required photo proof, left without required customer or platform confirmation, delivered to a neighbor without authorization, marked delivered when not properly delivered, returned late, scanned incorrectly, damaged, stolen after an unsafe delivery, or disputed because the photo, address, GPS, tracking, route sequence, or delivery record does not support a proper delivery. Each package may result in deduction, chargeback, claim, administrative review fee, client/platform penalty, replacement value, customer claim, warehouse charge, or any documented loss connected to the incident.
Contractor agrees that dashboard records, platform records, warehouse records, QC photos, customer complaints, GPS/address review, delivery photos, route data, tracking status, and client chargeback records may be used to determine whether a package was properly delivered and whether a penalty, deduction, hold, or chargeback applies. Company may hold payment while an investigation, claim, dispute, warehouse review, or client/platform chargeback is pending.
7. Taxes and W-9 / 1099
Contractor is responsible for all taxes, tax filings, self-employment taxes, business deductions, and tax records. Contractor must provide a correct W-9 and understands Company may issue a Form 1099 when required by law. Contractor is responsible for the accuracy of tax identification information provided.
8. Confidentiality and Customer Data
Contractor must protect all customer names, addresses, tracking numbers, photos, route data, rates, warehouse information, platform information, manager information, and dashboard data. Contractor may not copy, sell, publish, misuse, or disclose this information except as needed to perform authorized services.
9. No Solicitation / No Bypass
Contractor may not bypass Company or an assigned manager to solicit Company clients, warehouses, platform accounts, routes, managers, employees, drivers, or business opportunities learned through Company operations without written approval.
10. Safety, Compliance, and Legal Responsibility
Contractor must comply with all traffic laws, safety rules, insurance requirements, delivery laws, customer property rules, and warehouse rules. Contractor is solely responsible for fines, citations, accidents, injuries, property damage, criminal acts, fraud, or legal claims arising from Contractor conduct.
11. Indemnification
Contractor agrees to defend, indemnify, reimburse, and hold harmless Company, its owners, managers, clients, warehouses, affiliates, and related parties from claims, damages, losses, fines, penalties, chargebacks, customer claims, attorney fees, and costs arising from Contractor services, vehicles, accidents, taxes, documents, misconduct, package issues, or breach of this Agreement.
This indemnification includes claims involving employment classification, wage and hour allegations, taxes, benefits, unemployment, workers compensation, personal injury, vehicle accidents, property damage, package loss, package theft, misdelivery, mailbox delivery, customer complaints, privacy violations, unauthorized disclosure of customer information, claims by Contractor's helpers or subcontractors, and any allegation that Contractor or Contractor's workers were employees of Company, to the fullest extent permitted by law.
12. Termination and Suspension
Company may suspend or terminate access to routes, payments, dashboard access, or services at any time for business reasons, client requirements, documentation issues, performance issues, safety issues, suspected fraud, claims, or breach of this Agreement. Contractor may stop accepting future routes, but remains responsible for any accepted route and any open claims or reconciliation.
13. Electronic Signature
Contractor agrees that typing a legal name, checking the acceptance box, submitting the form, and the stored timestamp, IP address, user agent, signed W-9, signed contract, and dashboard record are valid evidence of electronic acceptance and signature.
Contractor acknowledges that Contractor has read this Agreement completely, understands it, had the opportunity to ask questions, and accepts all terms.
